1. COMPANY
(General Provisions)
1.1. The Limited Liability Company LION SHIPPING GROUP LLC is established under the “Law of Georgia on Entrepreneurs”
of 28 October, 1994.

1.4. Time-period of the Company’s activities is unlimited.
1.5. The economic year of the Company coincides with a calendar year. It consists of twelve months, starting from 1 January
and ending on 31 December each year. The period from the date of registration of the Company till 31 December of the
registration year makes up one incomplete year.
1.6. The Company represents a legal entity conducting its activities according to the effective Georgian laws.
1.7. Under the effective Georgian Laws the Company acquires a status of a legal entity from the moment of its registration
with the Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities Registry (the "Commercial
Registry”).
1.8. The Company has its own property and it can participate in legal transactions under its own name, acquire property and
non-property rights, undertake obligations, be a claimant or defendant in a general court, arbitration court and
mediation court.
1.9. The Company has its independent balance sheet, is entitled to open accounts (including foreign currency accounts) in
banking institutions of Georgia and of foreign countries.
1.10. The Company may have a seal, letter-head, stamp, name and other requisites of a legal entity.
1.11. The Company shall not be liable for the Shareholders obligations and the Shareholders are liable for the Company’s
obligations up to the amount of their contributions to the Company’s capital.
1.12. The Company may establish branches, representative offices and other structural units on the territory of Georgia and
abroad.
1.13. The Company may participate (hold shares) in any local or foreign legal entities and become a member of unions and
associations.
2. THE COMPANY ACTIVITIES
2.1. The main activities of the Company are:
• Any activity, which is not directly prohibited under Georgian law.
2.2. The Company may carry out activity requiring special consent (license) only after obtaining such consent (license) in
an established manner.
3. CAPITAL
3.1. The capital of the Company is GEL 100.
3.2. The Shareholders may resolve to increase or decrease the capital of the Company. The contribution to the capital may be
tangible and intangible assets, performance of works and/or provision of services.

4. RIGHTS AND OBLIGATIONS OF THE SHAREHOLDERS
4.1. The Shareholders of the Company have the rights and obligations prescribed by the present charter and the applicable
laws of Georgia.
4.2. The Shareholders may freely dispose off (including, without limitation, sale, donation, exchange, pledge, grant of options
and any other third party rights) its shareholding (part of the shareholding) in the Company. Any such disposal of
shareholding (part of shareholding) shall be carried out on the basis of a notarized instrument (agreement).
4.3. The Shareholders shall be entitled to receive a copy of annual statements and all other public statements of the Company.
The Shareholders shall be further entitled to check the accuracy of annual statements by inspecting the Company’s
books and records, or to have those verified by a third party auditor pledged to secrecy. The Shareholders may at any
time request for clarifications from the Company’s directors after presentation of annual statements for approval, but in
any event up to final approval of such statements. No limitations shall apply to the Shareholders rights to control and to
audit the Company.
4.4. The Shareholders are entitled to receive dividends from the profits of the Company.
4.5. The Shareholders shall duly and timely contribute to the capital of the Company.
4.6. The Shareholders are entitled to participate in the management of the Company in accordance with the rules and
procedures prescribed by this charter. The Shareholders are entitled to adopt resolutions regarding every aspect of the
Company's activities. Each resolution of the Shareholders shall be passed in writing or if necessary shareholder(s) may
participate in meeting though electronic means of communication.
4.7. The Shareholders adopt each decision through simple majority. Adopting resolutions in respect of the following matters
shall fall under the exclusive competence of the Shareholders:
4.7.1. commencement of new production lines and economic activities and their cessation;
4.7.2. making changes to the registration data and charter of the Company;
4.7.3. increasing or decreasing the capital of the Company;
4.7.4. reorganization and liquidation of the Company; __

4.7.5. establishment and liquidation of the Company’s branches (representative offices) and subsidiaries; .^31
4.7.6. appointment and dismissal of directors of the Company, conclusion and termination of employment contracts
with them, approval of their statements; ----
4.7.7. determining the principles of directors and other key officials participation in profit sharing, of granting ——
bonuses and benefits, as well as, of pension schemes;
4.7.8. making investments, the value of which, whether in a single transaction or series of related transactions, in
any one economic year exceeds 50% of the total value of the assets of the Company;
4.7.9. receiving and providing loans, credits in the amount exceeding USD 50,000 (fifty thousand US Dollars) per
economic year, including by way of acquisition, issue and subscription for any securities.
4.7.10. assuming obligations, the value of which, whether in a single transaction or series of related transactions,
exceeds 50% of the total value of the assets of the Company;
4.7.11. securing obligations, mortgaging and pledging the assets of the Company;
4.7.12. issuance and revocation of proxies;
4.7.13. approval of the Company's annual statements and distribution of profits (dividends);
4.7.14. election of an auditor;
4.7.15. establishment of a supervisory board in the Company;
4.7.16. enforcing rights, which the Company may have against its directors as a result of its incorporation or day-to-
day management, as well as, representing the Company in those proceedings that are directed against the
directors.

5. DIRECTORS OF THE COMPANY
5.1. The directors of the Company are appointed and revoked by the resolution of the Shareholders. The directors shall be
appointed for an indefinite term, unless otherwise is stated in the resolution of the Shareholders on appointment of the
director.
5.2. The directors are in charge of day-to-day management of the Company and independently represent the Company in
legal relations vis-a-vis third parties.
5.3. Specific duties and liabilities of the directors may be determined by the internal regulations adopted and approved by
the Shareholders and/or under relevant employment contracts concluded with the directors.
5.4. Along with the requirements, limitations and restrictions set forth by the applicable legislation and this charter, the
capacity of the directors may further be subject to policies, rules and other regulatory documents adopted and approved
by the Shareholders of the Company.
5.5. The directors of the Company shall:
(a) manage and carry out day-to-day activities of the Company;
(b) ensure book-keeping and accounting of the Company in compliance with applicable Georgian laws and the
generally accepted accounting standards, in the form to be established by the Shareholders;
(c) procure fulfilment of resolutions of the Shareholders of the Company;
(d) upon instructions from the Shareholders or by his/her own initiative elaborate policies, rules and any other
regulatory documents to be approved by the Shareholders and secure their fulfilment; Whilst elaboration of above
referred policies, rules and any other internal regulatory documents the directors shall take into account the
recommendations and binding instructions of the Shareholders;
(e) decide on selection, training and employment of staff of the Company;
(f) immediately following the Shareholders request, provide the Shareholders with the information regarding the
business activities of the Company and permit the Shareholders to inspect any and all Company’s statements, books
and documents;
(g) deal with any other issues which may, from time to time, be assigned by the Shareholders to the director;
(h) observe the requirements set forth by this charter and the applicable Georgian laws.
5.6. The directors are entitled to:
(a) coordinate and carry out the day-to-day management of the Company’s activities; 3
(b) act on behalf of the Company without a power of attorney, solely represent the Company in any matters vis-a-vis --------
any state bodies or other third parties; - •
(c) appoint and dismiss the employees of the Company;
(d) delegate their specific authorities to third persons on the basis of power of attorneys;
(e) subject to any possible consents, approvals and resolutions of the Shareholders under this charter, independently
enter into any transaction on behalf of the Company;
(f) apply incentives, bonuses and premiums toward the Company’s employees and impose penalties and disciplinary
sanctions in accordance with the internal rules and regulations;
(g) carry out any other activities required for the attainment of the Company’s objectives and adopt resolutions, save
for those, that fall under the exclusive competence of the Shareholders.
5.7. The directors shall diligently and faithfully run the Company and fulfill their duties, in particular, serve as ordinary
persons of common sense would do in a similar capacity and under the similar circumstances, acting in the belief that
the given act of their serves to the best interests of the Company. If they breach such fiduciary duties, they shall be
personally, directly and with their total assets be Hable for inflicted damages towards the Company.
5.8. The directors may not use the information related to the activities of the Company that was obtained whilst holding
the office and/or performance of duties, for the personal interest and gaining benefits.

5.9. Without the consent of the Shareholders the directors have no right to engage in the same activities that the Company
does or participate in another company of a similar type as a personally responsible Shareholders, member of the
supervisory board or a director (conflict of interests). The consent of the Shareholders shall be deemed granted, if at the
moment of appointment of an individual at the position of the directors of the Company the Shareholders was aware of
the fact that the directors were engaged in such activities and the Shareholders never requested cessation suspension of
such engagement. In the event of violation of this requirement, the directors shall return the benefit earned out of such
activity, surrender the right to claim remuneration from and pay the damages to the Company. The decision on
exercising this right of the Company shall be made by the Shareholders.
5.10. The directors shall keep commercial secrets of the Company and strictly maintain the confidential nature of all
information or documentation relating to the Company’s activities or connected therewith, and shall be liable to
compensate damages suffered by the Company, as a result of breach of such confidentiality undertakings by the
directors.
6. ANNUAL STATEMENTS AND DISTRIBUTION OF PROFITS
6.1. Within 3 (three) months after the end of each financial year, the directors of the Company shall prepare annual
statement for the previous year and deliver it for approval to the Shareholders pursuant to the laws of Georgia.
6.2. At the end of each financial year, the annual profit and loss account shall be calculated on the basis of the balance for
the previous year. All profits belong to the Shareholders, shall be distributed in a manner approved by the Shareholders
and/or shall be used for different purpose at the Shareholders sole discretion.
6.3. The Shareholders may receive dividends as per its decision. Only the dividends of the Company shall be paid to the
Shareholders. In the event of receiving any other compensation from the Company, the Shareholders shall be obliged
to return it back or reimburse the suffered losses in cash to the Company.
7. LIQUIDATION, REORGANISATION AND INSOLVENCY OF THE COMPANY
7.1. The Shareholders of the Company may at any time resolve to liquidate the Company. The Shareholders resolution on
initiation of liquidation proceedings shall be registered with the Commercial Registry.
7.2. The Shareholders shall determine the individual(s) (liquidators) that shall carry out the liquidation. If no such liquidators
are appointed, then the liquidation of the Company shall be carried out by any directors of the Company.
7.3. The liquidation of the Company shall be carried out in accordance with the rules, procedures and requirements
prescribed by applicable Georgian laws.
7.4. The Shareholders may reorganize the Company from one legal form into another, provided that the established
minimum statutory requirements for such reorganization are observed.
7.5. The Shareholders may resolve to merge the Company with another legal entity. The resolution on merger shall indicate
whether the Company is merged with another legal entity or the Company and such another legal entity are merged
into a single new legal entity. The resolution on merger shall determine the rights and obligations of the Shareholders,
if such rights and obligations are not proportionate to their shareholdings in the capital. A legal entity with whom the
Company was merged, or a new legal entity that was established pursuant to the merger shall be the legal successor of
the Company.
7.6. The Shareholders may resolve to spin-off the Company into two or more companies that will continue to exist as
independent legal entities. The companies established as a result of spin-off of the Company shall be jointly and severally
liable for the obligations of the Company that existed prior to such spin-off.
7.7. If the Company becomes insolvent or is threatened by insolvency, the directors shall without delay, but in any event
within 3 (three) weeks from the date of the Company becoming insolvent, declare on and initiate the insolvency
proceedings in accordance with the law of Georgia "On Insolvency Proceedings” and other applicable Georgian laws.
8. BRANCHES OF THE COMPANY
The Company may establish branches that are not separate legal entities. A branch of the Company established on the territory
of Georgia is not subject to registration with the Commercial Registry.

9. DISPUTE SETTLEMENT
Any dispute or controversy between the Shareholders of the Company and the directors shall be settled amicably, through
good faith negotiations. Should the parties fail to reach an agreement within 30 (thirty) calendar days from the date of the
dispute or controversy, such dispute or controversy may be referred and finally settled by the Georgian court of relevant
jurisdiction.
10. MISCELLANEOUS PROVISIONS
10.1. Any amendments and changes to this charter shall be made by the resolution of the Shareholders.
10.2. If any of the provisions of this charter becomes invalid, it shall not affect the validity of the remaining provision or of
the entire charter.
10.3. In case of any conflict between the provision of the charter and Georgian laws, the provisions of Georgian law shall
prevail.
10.4. This charter is executed in several counterparts in English and Georgian languages, each of which shall be deemed an
original, but all of which together shall constitute one and the same instrument. In case of discrepancy between the
English and Georgian versions, the Georgian version of the text shall prevail.
